Terms of service

The terms for private practices and clinics using the ClinicAI service.

This is an English translation of the Hungarian Általános szerződési feltételek (ÁSZF). If the two versions differ, the Hungarian version prevails.

1. Parties and scope

These terms apply to the legal relationship between Tokár Ádám egyéni vállalkozó (5700 Gyula, Szőlős utca 4/1., Hungary, tax number: 92003747-1-24, registration number: 62232744) as provider (hereinafter: the Provider) and the healthcare provider using the ClinicAI service (hereinafter: the Customer). The service is intended for businesses and is not a consumer contract. Where the individual contract provides otherwise, it takes precedence over these terms.

2. The service

ClinicAI is a subscription service which, depending on the package chosen by the Customer, may include: a website chatbot, online booking, a digital phone receptionist, a patient CRM, automatic notifications, cloud storage and backup. The service is not a medical device, gives no medical advice, does not diagnose and does not perform emergency triage. The service is not connected to the Hungarian national eHealth service (EESZT) or to any other national health record system, and cannot be used for reporting to them; such a connection is only possible as a custom project, after an approval process.

3. Ordering and setup

The contract is concluded when the Customer accepts the written offer. The setup steps are: assessment, setup, trial week, go-live. The Customer provides the information needed for the setup (treatments, prices, opening hours, rules) and is responsible for its accuracy.

4. Fees and billing

  • The fee for the service consists of a one-time setup fee and a monthly fee. Net monthly fee and setup fee of the packages: Starter $349 and $990, Practice $699 and $1,790, Clinic $1,190 and $2,990. Prices in USD, excluding any applicable taxes. With annual payment, the Customer pays half the setup fee and 10 monthly fees for 12 months. The Practice package includes 500 and the Clinic package 1,200 call minutes of phone traffic a month; usage above that is charged as set out in the written offer. The fee set out in an individual offer may differ from these.
  • For an annual subscription, the fee is half the setup fee and 10 monthly fees, covering 12 months (Starter $3,985, Practice $7,885, Clinic $13,395).
  • Billing: for a monthly subscription, monthly in advance; for an annual subscription, yearly in advance, by electronic invoice. Payment term: 8 days from the date of the invoice.
  • In the event of late payment, the Provider may charge default interest under the Hungarian Civil Code. If payment is more than 15 days late, after a written reminder, the service may be suspended until the debt is settled; the Customer's data is kept during this time.
  • Fee changes: the Provider may change the fee by giving at least 30 days' notice in writing. The Customer may terminate free of charge before the change takes effect. The fee of an annual subscription does not change during the year already started.

5. Data processing

For patient data, the Customer is the controller and the Provider is the processor. Before the service starts, the parties conclude a written data processing agreement in line with Article 28 of the GDPR. When the contract ends, the Provider hands over the Customer's data in a standard format, and then deletes it as set out in the data processing agreement.

6. Availability and support

The Provider aims for 99.5% monthly availability. Planned maintenance is announced by email at least 2 business days in advance and, where possible, scheduled outside opening hours. Faults can be reported to hello@clinicai.hu. On business days the Provider answers within 1 business day, and starts fixing a fault that prevents the use of the service without delay after it is reported. The Provider is not liable for outages caused by outside providers (telephone network, cloud providers), but helps restore the service.

7. Liability

The Provider's liability for damage caused by breach of contract is limited to the amount of fees paid by the Customer in the 12 months before the damage. This limitation does not apply to breaches of contract committed intentionally or with gross negligence, or to those harming human life, physical integrity or health (Section 6:152 of the Hungarian Civil Code). The Provider is not liable for damage arising from incorrect data given by the Customer, or from using information given by the digital assistant as a medical decision. A medical decision is always the task of a healthcare professional.

8. Term and termination

A monthly subscription runs for an indefinite period, and either party can terminate it in writing with 30 days' notice. An annual subscription runs for 12 months and can be terminated with effect from the end of the period; the proportionate part of the annual fee paid is not refunded, unless the termination is due to a serious breach of contract by the Provider. Either party can terminate with immediate effect if the other party seriously breaches the contract and fails to remedy it within 15 days of a written notice. On termination, the Provider hands over the Customer's data in a standard format.

9. Other provisions

Matters not covered by these terms are governed by Hungarian law, in particular Act V of 2013 on the Civil Code. The parties settle disputes primarily through negotiation; if that fails, the Hungarian court with jurisdiction and competence decides.
